NDA redaction is the removal of party PII from a non-disclosure agreement. Information counts as a trade secret only while its holder takes reasonable steps to keep it secret. That test sits in reg. 2 of the Trade Secrets (Enforcement, etc.) Regulations 2018. The older equitable action for breach of confidence, set out in Coco v A N Clark (Engineers) Ltd [1969] RPC 41, runs alongside it.
When this applies
You want to reuse a signed form as a template or precedent. Sending it to a cloud tool is itself a disclosure, and disclosure is what the reasonable-steps test weighs. So you clear both parties on your own machine and the clauses stay usable.
How anonym.plus handles it
- Load the file into anonym.plus on your device.
- The tool flags both parties' names, titles, and contacts.
- It scans the header and signature block, not just the body.
- Confirm the flags and keep any defined term.
- Swap or black out the IDs.
- Save the clean template on your machine.
What you need to provide
- The signed form (PDF, DOCX, or scan).
- An operator; Replace keeps the clauses readable.
- Optional allow-list to keep your firm's boilerplate.

Compliance achieved
- Supports the reasonable-steps test in reg. 2, Trade Secrets (Enforcement, etc.) Regulations 2018.
- Keeps the duty of confidence described in Coco v A N Clark (Engineers) Ltd [1969] RPC 41.
- Header, body, and signature block are all scanned.
- True anonymity takes the template outside UK GDPR scope on the Recital 26 test.
- Runs offline with AES-256-GCM at rest — no cloud relay.

Limitations & cautions
Recitals, defined terms, and schedules can name a party indirectly. A project codename is a common example: the tool cannot tell that it points at one firm. OCR helps with scans, but check signed copies with care before you treat the form as clean.
Frequently asked questions
How does redaction help protect a trade secret?
Reg. 2 of the Trade Secrets (Enforcement, etc.) Regulations 2018 protects information only where its holder took reasonable steps to keep it secret. Keeping the file on your own device is one such step. Uploading it to a third-party service is the opposite.
Can I turn a signed NDA into a clean template?
Yes. Swap each party ID for a role label like [DISCLOSER], and the clauses stay word for word. The form is then ready to reuse with new parties, without carrying the original signatories' details into every future deal.
Does removing names weaken the duty of confidence?
No. That duty binds the named parties in the signed original, which you keep untouched. The clean copy is a precedent, never a substitute for the executed agreement.
